Key benefits of this structure
Shareholders gets the legal right over property through holding shares in the SHCS Holdings Limited.
Reassured approach for the members and volunteers as the donations will go to buy an Asset only and not used for expenses or any other purposes.
The memorandum of association of SHCS Holdings Limited prescribes that own real estate will be leased to SHCS Charity only.
Given SHCS Holdings Limited and SHCS Charity are regulated by Company House and The Charity Commission, both will be managed as a separate entities with documented segregation of processes and independently verified financial positions.

Board of Directors of SHCS Holdings Limited to engage with Shareholders to seek approval to purchase or to lease the property to SHCS
Shares are transferrable upon notice to the Board of Directors
No dividend will be paid by SHCS Holdings Limited

Timeline: 3 Phase 5 Years Commitment

  • Raise £150,000- £175,000, as initial corpus by 2023 end
  • Seek commitments of amounts which could be provided in the future
  • Regular Annual Direct Debit until 31 Dec 2028
  • On each direct debit, shares of £500 each will be issued and non £500 denominated amount will be transferred to SHCS Charity
  • In the event property is not identified and purchased by 31 Dec 2028, ALL amounts will be paid back in early 2029.
